1. Acceptance; eligibility
These Terms are a contract between us and the person or organization that subscribes ("Customer", "you"). By creating an account, starting checkout, or using the Service, you accept these Terms and confirm that you are at least 18 and, if you subscribe for an organization, that you have authority to bind it. The Service is not offered to anyone in the European Union, the European Economic Area, the United Kingdom or Switzerland. By subscribing you represent that you are not located, established or ordinarily resident in any of those places and that you will not use the Service from there. Customers elsewhere may subscribe as individuals or businesses; if you are a consumer, you keep any rights your local law gives you that cannot be waived (§18).
Sanctions and export controls. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region that is subject to comprehensive U.S. sanctions or that we restrict for sanctions or export-control reasons (currently Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, so-called Donetsk People's Republic and Luhansk People's Republic regions of Ukraine); that you are not on, or owned or controlled by anyone on, a U.S., EU, UK or UN restricted-party list; and that you will not use VPNs or other means to access the Service from those places or export the Service in violation of law. We may refuse, suspend or terminate access immediately if we believe this representation is untrue, without refund where the law allows.
2. The Service
Sidecar Intel is a self-serve subscription that delivers a weekly competitive and social intelligence digest ("Digest") for founders, compiled from posts on X (Twitter) obtained only through X's official API and from publicly available web pages (no login required), and delivered as a Google Docs document and an email. You choose the inputs (e.g. competitors, keywords, accounts) ("Customer Inputs"). Plan limits (such as the number of items you can track) are shown at checkout. We may improve or change features, but we will not materially reduce the core Service during a paid period. We may offer additional plans or features in future; joining a waitlist for one is not a purchase and creates no obligation on either side, and any new plan will have its own terms, shown to you before you buy.
3. Accounts
Keep your login credentials confidential and give us accurate account, billing and contact details. You are responsible for activity under your account and for your authorized users (your employees and contractors). Tell us promptly at boltmetta@gmail.com if you suspect unauthorized access.
4. Subscriptions, auto-renewal and cancellation
- Plans and prices. Monthly: US $29 per month (default) or Annual: US $290 per year, billed in advance in USD. These are the only plans we currently offer. Prices are before tax; sales tax or similar taxes are added where required (see §5.3). Plan limits are shown at checkout.
- Auto-renewal. Subscriptions renew automatically for the same period (monthly or annual) at the then-current price until cancelled. By checking the box and subscribing at checkout you affirmatively consent to auto-renewal. We show the price, the renewal period and that the plan renews until cancelled at checkout, and we tell you how to cancel.
- Cancel anytime. You can cancel at any time by emailing boltmetta@gmail.com (from your account email, no reason needed) or through the Stripe customer portal when it is available. We process cancellation requests promptly and confirm them to you. Cancellation takes effect at the end of the current paid period; your access continues until then and you won't be charged again.
- Renewal reminders. For annual plans we send a reminder by email before each renewal, with the renewal date, the price and how to cancel.
- Price changes. We'll give at least 30 days' notice (by email or on the Service) before a price increase applies to your next renewal; you can cancel before it takes effect.
- Switching plans. To switch between Monthly and Annual, cancel and subscribe to the other plan when your current paid period ends. We don't prorate or credit unused time when you switch.
- No free trial. We don't currently offer a free trial.
5. Fees, billing (Stripe), taxes, refunds
5.1 Payment. Fees (US $29/month or US $290/year, excluding tax) are billed in advance in USD through Stripe (Stripe Checkout and Stripe Billing). By subscribing you authorize recurring charges to your payment method. We never see or store your full card details; Stripe processes them under its own terms and privacy policy. 5.2 Failed payments. If a charge fails, Stripe may retry. We may suspend the Service after 14 days of non-payment following notice. 5.3 Taxes. Prices are before tax. Sales tax, use tax and similar taxes are added where we are required to collect them. You are responsible for any taxes we do not collect, except taxes on our income. Please give accurate billing location and tax information; we may rely on it to determine tax treatment, and we may decline or cancel a subscription from a place where we are not able to handle the applicable taxes. 5.4 Where the Service is offered. The Service is not offered to anyone in the EU, the EEA, the UK or Switzerland (§1). If we find that a subscription was made from, or by a customer established in, one of those places, we may cancel it and refund the fees for the period after cancellation. 5.5 Refunds.
- Monthly plan: fees are not refunded or prorated, including for partial months or unused time.
- Annual plan: you may request a full refund within 14 days of the purchase date by emailing boltmetta@gmail.com; your access ends when the refund is processed. This 14-day full refund applies both to your first annual purchase and to every annual renewal (within 14 days of the renewal charge date). After 14 days, annual fees for that year are not refunded or prorated.
- Cancellation stops future renewals; access continues to the end of the paid period (§4).
- Nothing in these Terms limits any non-waivable rights under applicable law.
6. Acceptable use
You will not, and won't let anyone else:
- Redistribute, resell, sublicense, publish or syndicate Digests outside your own organization (or, if you subscribe as an individual, beyond your own use); internal sharing with your authorized users is fine;
- use the Service or Digests for unlawful purposes, harassment, stalking, discrimination, doxxing, or to make decisions about individuals' eligibility for employment, credit, housing or insurance;
- use Digests or X content in them to train or fine-tune AI models, or to target advertising;
- scrape, reverse engineer, overload, or circumvent limits or security of the Service;
- submit Customer Inputs that infringe others' rights or that target private individuals rather than businesses/public accounts;
- remove attributions or links to original sources in Digests.
We may suspend use that violates this section (see §13).
7. Customer data and our license to operate
You own your Customer Inputs and account data ("Customer Data"). You grant us a limited license to host, process and use Customer Data only to provide, secure, support and improve the Service, and as described in our Privacy Policy (https://signaldesk-azure-mu.vercel.app/privacy). We will not sell Customer Data. We may use aggregated, de-identified usage statistics that do not identify you.
8. Automated content — important disclaimer
Digests are compiled by automated processes (currently rule-based ranking and summarization; if we add AI-assisted tools we will update our Privacy Policy first) from third-party and public sources we don't control. They may be inaccurate, incomplete, out of date, or mis-attributed, and may miss relevant items or summarize them wrongly. Digests are for general information only and are not legal, financial, investment, tax or other professional advice. Verify important information against the original source before relying on it. Inclusion of a person, company or post does not mean we endorse it or that any claim in it is true.
9. Third-party content, trademarks and services
Posts, articles, names, logos and trademarks appearing in Digests belong to their respective owners; we claim no ownership and grant you no rights in them beyond viewing within your organization. X content is shown subject to X's terms and may be removed from Digests if deleted or made private on X. The Service relies on third-party services (e.g. Stripe, Google, Resend, Vercel, Neon and X); we are not responsible for their outages or acts, and your use of Google Docs/Gmail is also subject to Google's terms. Sidecar Intel is not affiliated with or endorsed by X Corp.
10. Our IP; Digests; feedback
We (and our licensors) own the Service, software, templates and our original compilation, analysis and formatting in Digests. Subject to these Terms and payment, we grant you a non-exclusive, non-transferable right during your subscription to use Digests internally within your organization (or for your own use, if you subscribe as an individual); you may keep copies of Digests already delivered, subject to §9 (X content that has been deleted or made private on X must be removed where X's terms require it). If you send us feedback, we may use it without obligation to you.
11. Confidentiality
Each party will protect the other's non-public information disclosed under these Terms with reasonable care, use it only to perform under these Terms, and not disclose it except to people who need to know and are bound by similar duties, or as required by law. Customer Inputs (e.g. your competitor list) are your Confidential Information.
12. Privacy
Our Privacy Policy (https://signaldesk-azure-mu.vercel.app/privacy) and Cookie Notice (https://signaldesk-azure-mu.vercel.app/cookies) explain how we handle personal data.
13. Suspension and termination
We may suspend access immediately if needed to prevent harm, a security risk, legal violation, a breach of §6, or non-payment. Either party may terminate for material breach not cured within 15 days of notice. You may stop using the Service anytime (cancellation per §4). We may discontinue the Service on 30 days' notice; if we do so during a period you have prepaid, we will refund the prepaid fees for the time after discontinuation. On termination your access ends; we delete Customer Data per our Privacy Policy, after which it cannot be recovered. Sections that by nature should survive (fees owed, §§8–11, 14–18) survive.
14. Warranty disclaimer
We'll provide the Service with reasonable skill and care. Otherwise, to the maximum extent permitted by law, the Service and Digests are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted or error-free operation.
15. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, goodwill or data; and (b) each party's total liability arising out of these Terms is limited to the greater of (i) the fees you paid us in the 12 months before the event giving rise to the claim and (ii) US $100. These limits don't apply to your payment obligations, a party's indemnity obligations, breach of §6, or liability that cannot be limited by law (e.g. fraud, or death/personal injury caused by negligence). Nothing in these Terms limits any non-waivable rights under applicable law.
16. Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Inputs, your breach of §6, or your use or redistribution of Digests in violation of these Terms.
17. Governing law and disputes
These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules, and disputes go exclusively to the state or federal courts located in California, in the county where Sidecar Intel's principal place of business is located when the claim is filed. The UN Convention on Contracts for the International Sale of Goods does not apply. Before suing, each party will try to resolve a dispute informally for 30 days. If you are a consumer, this section does not deprive you of the protection of mandatory laws or courts of your country of residence.
18. Changes; notices; miscellaneous
- Changes. We may update these Terms; for material changes we'll notify you (by email to your account address or on the Service) at least 30 days before they take effect (new terms apply from your next renewal unless needed for legal/security reasons). Continued use after the effective date means acceptance.
- Notices. To you: by email to your account address or on the Service. To us: boltmetta@gmail.com.
- Non-waivable rights. Nothing in these Terms limits any non-waivable rights under applicable law.
- Misc. Entire agreement (these Terms, the Privacy Policy, the Cookie Notice, and your order/checkout); no assignment by you without consent (we may assign in a merger or sale); force majeure; severability; no waiver; independent contractors; export/sanctions compliance; electronic communications satisfy "in writing."
